Gearlog Terms of Service

1. Agreement
1.1.These Terms of Service (“Terms”) are a contract between you and Gearlog covering the marketing website, the Gearlog application (web and companion apps), and related services (together, the “Service”). By accessing or using the Service, you agree to these Terms. If you are using Gearlog on behalf of an organization, you represent that you have authority to bind that organization.
1.2.Our Privacy Policy explains how we handle information and is incorporated by reference.
2. The Service
2.1.Gearlog provides shared-equipment checkout tooling—including QR labels, inventory, checkouts, reservations, service history, and related workflows. Features available to you depend on your plan and configuration. We may modify, add, or remove features as we improve the product.
3. Accounts and Workspaces
3.1.You must provide accurate account information and keep credentials secure. You are responsible for activity under your account. Workspace administrators control membership, roles, and content within their workspace. You must promptly notify us of unauthorized access.
4. Acceptable Use
4.1.You agree not to:
- Use the Service for unlawful, harmful, or fraudulent purposes
- Attempt to gain unauthorized access to other workspaces, systems, or data
- Interfere with or disrupt the Service, including by overloading infrastructure or bypassing security controls
- Reverse engineer, scrape at abusive scale, or resell the Service except as expressly allowed
- Upload malware or content that infringes others’ rights
- Misrepresent your identity or affiliation when using Gearlog
5. Your Content
5.1.You (or your organization) retain ownership of inventory records, checkout data, uploads, and other content you submit to a workspace (“Customer Content”). You grant Gearlog a limited license to host, process, display, and back up Customer Content solely to operate and improve the Service.
5.2.You represent that you have the rights needed to submit Customer Content and that doing so does not violate law or third-party rights. You are responsible for complying with your institution’s policies when managing borrower or student information.
6. Plans and Payment
6.1.Free and paid plans are described on our Pricing page. Paid plans may be billed monthly or annually as offered at checkout. Fees are non-refundable except where required by law or expressly stated. We may change prices with notice for renewals. Failure to pay may result in suspension or downgrade of paid features.
7. Availability and Changes
7.1.We aim to keep Gearlog reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, update the Service, or temporarily suspend access when needed for security or operations. We will use reasonable efforts to minimize disruption.
8. Intellectual Property
8.1.Gearlog and its logos, software, documentation, and design are owned by Gearlog or its licensors. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service. Feedback you provide may be used by Gearlog without obligation to you.
9. Disclaimers
9.1.THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEARLOG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GEARLOG DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT CHECKOUT, INVENTORY, OR REPORTING DATA WILL BE COMPLETE OR ERROR-FREE.
10. Limitation of Liability
10.1.TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEARLOG AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF YOU ARE ON A FREE PLAN.
11. Termination
11.1.You may stop using Gearlog at any time and may request workspace closure through an administrator or by contacting us. We may suspend or terminate access if you violate these Terms, create risk for the Service or others, or fail to pay fees when due. Upon termination, your right to use the Service ends; provisions that by nature should survive (including ownership, disclaimers, and liability limits) will survive.
12. Governing Law
12.1.These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Courts located in Delaware will have exclusive jurisdiction over disputes, except where applicable law requires otherwise for consumers or public institutions.
13. Changes to these Terms
13.1.We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last Updated” date. Material changes may also be communicated by email or in-product notice. Continued use after changes take effect constitutes acceptance.
